Terms & Conditions for ProAI

Welcome to ProAI, a service provided by ProAI, Inc ("we", "us", "our", "ProAI"). Your use of our website, services, products, and applications (collectively, the "Services") is governed by these Terms and Conditions ("Terms"). Please read them carefully as they affect your rights and obligations under the law. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By accessing and using our Services, you accept and agree to be bound by these Terms, our Privacy Policy, and any other terms incorporated by reference herein. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Changes to the Terms

We reserve the right to modify these Terms at any time. We will post the most current version of these Terms on our website. If we make material changes to these Terms, we will notify you via the Services or by email. By continuing to use the Services after any changes come into effect, you agree to the revised Terms.

3. Use of Services

Our Services are intended solely for your business purposes and are provided "as is." You agree not to use the Services in any way that violates applicable laws or infringes on the rights of others.


Prohibited uses include but are not limited to:

  1. Attempting to gain unauthorized access to, probe, scan, or test the vulnerability of any system or network;

  2. Circumventing security or authentication measures;

  3. Reverse-engineering, decompiling, decoding, or disassembling any part of the Services;

  4. Copying, modifying, or creating derivative works of the Services without written permission;

  5. Interfering with or disrupting the integrity or performance of the Services or any related systems;

  6. Collecting or storing data about other users without their consent;

  7. Accessing the Services through automated means without our prior written consent.

  8. You agree not to resell, duplicate, reproduce, or exploit any portion of the Services without express written permission.

4. Subscription and Payment Terms

Subscriptions:

All paid services are subscriptions. Certain ProAI features may be available on a monthly, annual, or perpetual subscription basis. To prevent service disruption, all monthly and annual subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before renewal. You may cancel your subscription at any time via your account settings or by contacting support at team@proai.co.

Payments:

By subscribing for a paid service, you authorize us to charge your payment method on a recurring basis until cancellation. All fees are due immediately upon renewal unless otherwise stated. You also agree to keep your billing information current. If your payment method is declined, we may continue to attempt charges using updated information provided by your bank or card network.

Failed Payments and Dunning Process:

If we are unable to process a renewal payment: We will notify you by email. We will make additional attempts to process the payment during a grace period. During the grace period, your access may continue but certain features may be limited. If the renewal payment remains unpaid after the grace period, your account will be subject to suspension as outlined below.

  1. Suspension for Non-Payment:
    If any subscription fee remains unpaid for more than 14 days after the renewal date, ProAI may suspend or limit your access to the Services, block logins until payment is made, and/or place your account into a past-due status. Suspension does not cancel your subscription or waive amounts owed.

  2. Cancellation for Extended Non-Payment:
    If your balance remains unpaid for more than 31 days after the renewal date, ProAI may cancel your subscription entirely. Cancellation for non-payment does not remove or forgive any past-due amounts.


  3. Disputed Charges:
    If you dispute or charge back a transaction that was not unauthorized or processed in error, your account may be immediately suspended, and you may be required to resolve the disputed amount before reactivation. We reserve the right to permanently close accounts involved in repeated or fraudulent disputes and chargebacks and charge fees associated with the real cost and administrative cost associated with these fraudulent claims.


  4. Changes to Fees and Billing Terms:
    We may modify subscription fees or billing practices. Any changes will apply to the next billing cycle following notice provided via email or through the Services.


  5. Account in Good Standing:
    An “Account in Good Standing” is one for which all subscription fees due have been paid, and which is not subject to an active dispute or suspension. Some features or promotions may only be available to Accounts in Good Standing.


  6. Collections and Recovery:
    For significantly overdue accounts, ProAI may use third-party services and vendors to assist with collections. These services may contact you on our behalf using information you provided. This correspondence will be in compliance with the terms of our Privacy Policy

  7. Refunds:
    For subscriptions where the business plans and financial models are ‘available for download', the paid subscription amount is non-refundable once the user logs into the platform. Refunds are not issued for partial billing periods unless required by law. Refund exceptions may be requested in writing and will be evaluated on a case-by-case basis.

  8. TCPA Consent:
    By accessing or using this Website and/or providing your phone number to ProAI, Inc, it's parent company Pro Business Plans, Inc, and any contractors acting within the terms of their respective agreements with ProAI, Inc or Pro Business Plans, Inc (ProAI and Associates). You expressly consent to receiving calls and messages, including auto-dialed and pre-recorded message calls, and SMS messages (including text messages) from us, our affiliates, agents and others calling at their request or on their behalf, at any telephone numbers that You have provided or may provide in the future, or which we associate with you. This includes landlines, cellular numbers, and numbers converted to cellular numbers.


By providing us with your mobile number and opting-in, you give ProAI and Associates permission to send you account-related text messages, like payment reminders and notifications, in conjunction with the services you have requested. Message frequency may vary by account. Message and data rates may apply. Your cellular or mobile telephone provider will charge you according to the type of plan you carry.


To opt-out, text STOP to any text message we send you. An opt-out confirmation message will be sent to you. To request support, text HELP to any text message we send you or email us at team@proai.co . If your handset does not support MMS, any MMS messages sent may be delivered as SMS messages. Wireless carriers are not liable for undelivered or delayed messages.

5. AI-Generated Content Disclaimer

ProAI utilizes advanced artificial intelligence technologies to generate content and provide services. AI-generated content is for informational purposes only and is not a substitute for professional legal, financial, or business advice. Users should consult qualified professionals before making decisions based on AI-generated outputs.


The ProAI platform is designed to provide structured, AI-assisted outputs within defined system parameters. Certain technical limitations may prevent creation of fully customized or user-specific financial models, plans, or other outputs. These limitations are inherent to the platform and do not constitute a defect or service failure.
While we strive for accuracy, we make no guarantees regarding the completeness, reliability, or utility of AI-generated content. Use of such content is at your own risk. We are not liable for any loss or damage resulting from reliance on AI-generated content.

6. Standard of Care

Our AI systems are based on public data and user input. Outputs are not tailored to specific regulatory or legal standards. We do not warrant that our content meets any professional or industry requirements without human review and verification.

7. Protection of Proprietary Methods

Our Services incorporate proprietary technologies, workflows, and patent-pending methodologies. All components of our technology stack, including those related to document generation and user experience, are protected under applicable intellectual property laws.


Reverse-engineering or attempting to copy our systems, software architecture, or methodologies is strictly prohibited. We monitor for infringement and will pursue injunctive relief and/or damages in cases of intellectual property violations.

8. Intellectual Property and Data Ownership

All content on our Services, including text, graphics, logos, interfaces, software code, and visual elements, is the property of ProAI or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any data or content you upload to the Services. By using the Services, you grant ProAI a non-exclusive license to use your data to operate, maintain, and improve the Services.

9. Limitation of Liability

To the fullest extent permitted by law, ProAI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities.

Our total liability under these Terms shall not exceed the amount you paid for the Services in the twelve (12) months prior to the claim.


Some jurisdictions do not allow limitations on certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless ProAI and its affiliates, officers, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of or relating to:


  1. Your use or misuse of the Services;

  2. Your violation of these Terms or applicable law;

  3. Your reliance on AI-generated content without professional review;

  4. Any content you submit, upload, or share through the Services.

11. Access and Availability

ProAI may suspend or terminate access to the Services for maintenance, upgrades, suspected violations, or technical reasons. We are not liable for any disruptions, outages, or resulting damages.

We will make reasonable efforts to notify users of planned downtime in advance, unless emergency maintenance is required.

12. Termination

We may suspend or terminate your access to the Services at our discretion for violations of these Terms, suspected fraud, or behavior that may harm other users or ProAI. Upon termination, your data may be deleted or become inaccessible. Refunds will not be issued unless legally required.

13. Modifications to the Services

ProAI reserves the right to modify, suspend, or discontinue any aspect of the Services, temporarily or permanently, with or without notice. Where feasible, we will provide at least 14 days' notice for material changes. Emergency changes may occur without advance notice.

14. Privacy and Data Protection

Please review our Privacy Policy for information on how we collect, use, and protect your personal data. ProAI complies with applicable privacy laws, including the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR). Your data is encrypted in transit and at rest. We do not sell or share your personal data with third parties for their marketing purposes.

16. Feedback and Suggestions

We welcome feedback and suggestions to improve our Services. By submitting feedback, you grant us the right to use it without restriction or compensation. We are under no obligation to use or respond to your feedback.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions shall remain valid and enforceable. Any unenforceable provision will be replaced with a valid one that most closely reflects the original intent.

18. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, excluding its conflict of law principles. All disputes arising out of or related to these Terms or your use of the Services shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) in New York City, New York, under its Commercial Arbitration Rules. You may opt out of this arbitration provision by emailing us at team@proai.co within 30 days of your acceptance of these Terms.
